These Terms of Use ("Terms") govern Your use of the website and digital platforms ("Platform") operated by Agrim International FZE, with its registered office at Plot A52a & B2, Calabar Free Trade Zone, Calabar 540211, Cross River State, Nigeria ("Agrim", "We", "Us", or "Our").

By accessing or using the Platform, You acknowledge that You have read, understood, and agree to be bound by these Terms. These Terms, together with our Privacy Policy, govern Your relationship with the Platform.

If You disagree with any part of these Terms, please discontinue use of the Platform immediately. These Terms supersede all previous oral and written terms and conditions communicated to You.

1. General

The Platform provides information about Agrim International FZE and its group of companies, including our manufacturing divisions, product lines, distribution network, and corporate activities. Users may utilize the Platform to learn about our products, submit business inquiries, and engage with our services.

For the purpose of these Terms, "You" or "User" refers to any individual, business entity, or authorized representative who accesses or uses the Platform. You confirm that You are at least 18 years of age and are legally capable of entering into binding agreements under Nigerian law.

We reserve the right to modify these Terms at any time without prior notice. Your continued use of the Platform following any modifications constitutes acceptance of the revised Terms. It is Your responsibility to review these Terms periodically.

2. Account Registration

Certain features of the Platform may require You to register an account. When creating an account, You agree to provide accurate, current, and complete information and to update such information as necessary.

You are solely responsible for maintaining the confidentiality of Your account credentials and for all activities that occur under Your account. You must notify Us immediately if You suspect any unauthorized access to or use of Your account.

We reserve the right to suspend or terminate any account that We reasonably believe contains inaccurate information, is being used in violation of these Terms, or is being accessed by unauthorized parties.

3. License and Access

We grant You a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for its intended purposes. This license does not include the right to:

• Download, copy, or modify any part of the Platform without Our express written consent
• Use the Platform for any commercial purpose beyond its intended scope
• Employ data mining, robots, scrapers, or similar tools to extract data from the Platform
• Reproduce, duplicate, sell, resell, or exploit any portion of the Platform
• Reverse engineer, decompile, or disassemble any software or technology used in the Platform

Any unauthorized use of the Platform shall immediately terminate the license granted herein.

4. Prohibited Uses

You are prohibited from using the Platform to:

• Engage in any unlawful activity or solicit others to do so
• Violate any applicable local, state, national, or international law or regulation
• Infringe upon the intellectual property rights of Agrim or any third party
• Harass, abuse, insult, harm, defame, or discriminate against any individual or group
• Submit false, misleading, or fraudulent information
• Upload or transmit viruses, malware, or any malicious code
• Collect, harvest, or track the personal information of others without consent
• Engage in spamming, phishing, or social engineering attacks
• Interfere with or circumvent the security features of the Platform
• Permit any third party to collect data or information from the Platform without authorization

5. Products and Orders

Agrim manufactures and distributes a range of products across its divisions, including spirits and bitters (Tombo), premium spirits (Radico), healthcare products (Agrim Pharma FZE), confectionery (Tobo), and food products (Topisto). All products are manufactured in compliance with NAFDAC regulations and applicable Nigerian standards.

Product information, including descriptions, images, pricing, and availability, is provided on an "as is" basis and is subject to change without notice. We reserve the right to discontinue any product, modify pricing, or limit order quantities at Our sole discretion.

Delivery timelines communicated by Agrim are estimates and are subject to inventory availability, logistics conditions, and other factors beyond Our control. We shall not be liable for delays in delivery.

In the event that We are unable to fulfill an order after payment has been received, Our liability shall not exceed the amount paid by the User, which shall be refunded accordingly.

6. Intellectual Property

All content on the Platform — including but not limited to text, graphics, logos, brand names (Tombo, Radico, Tobo, Topisto, 4D Babyeezz, 4D Womaneezz), images, photographs, illustrations, designs, icons, video clips, and software — is the property of Agrim International FZE or its licensors and is protected by Nigerian and international intellectual property laws.

No content from the Platform may be reproduced, distributed, modified, displayed, or used in any manner without Our prior written consent. Unauthorized use of any content may violate copyright, trademark, and other applicable laws.

7. User Content

If You submit any information, feedback, inquiries, or other content through the Platform ("User Content"), You represent and warrant that You have the right to do so and that such content does not violate any third-party rights.

By submitting User Content, You grant Us a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and display such content in connection with the operation of the Platform and our business activities. We reserve the right to review, moderate, or remove any User Content that We deem inappropriate, inaccurate, or in violation of these Terms.

8. Informational Disclaimer

The information provided on the Platform is for general informational purposes only and is presented on an "as is" and "as available" basis. While We endeavor to keep the information accurate and current, We make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, or suitability of the information, products, or services available on the Platform.

Any reliance You place on such information is strictly at Your own risk. We shall not be liable for any loss or damage arising from Your use of or reliance on any content provided on the Platform.

9. Limitation of Liability

To the fullest extent permitted by Nigerian law, neither Agrim International FZE nor its directors, officers, employees, affiliates, agents, or subsidiaries shall be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising from or related to Your use of the Platform.

We make no warranties that:

• The Platform will meet Your specific requirements
• The Platform will be uninterrupted, timely, secure, or error-free
• The results obtained from the Platform will be accurate or reliable
• Any defects in the Platform will be corrected

This limitation of liability shall prevail over any conflicting provision in these Terms or any related documents.

10. Indemnification

You agree to indemnify, defend, and hold harmless Agrim International FZE, its affiliates, officers, directors, employees, agents, and partners from any claims, demands, losses, damages, liabilities, costs, and expenses (including legal fees) arising from or related to: (a) Your use or misuse of the Platform; (b) Your violation of these Terms; (c) Your infringement of any intellectual property or other rights of any third party; or (d) any User Content You submit through the Platform. This obligation survives the termination of these Terms.

11. Service Modification and Termination

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time without prior notice. We may also terminate or restrict Your access to the Platform at Our sole discretion if We believe You have violated these Terms or acted in a manner that is harmful to Our interests or those of other users.

Upon termination, Your right to use the Platform ceases immediately. Any provisions of these Terms that by their nature should survive termination shall continue in full force and effect.

12. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how We collect, use, and protect Your information. By using the Platform, You consent to the practices described in the Privacy Policy.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed. The remaining provisions shall continue in full force and effect.

14. Assignment

We may assign, transfer, or subcontract Our rights and obligations under these Terms without Your consent. You may not assign, transfer, or subcontract any of Your rights or obligations under these Terms without Our prior written consent.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Cross River State, Nigeria.

16. Force Majeure

We shall not be liable for any failure or delay in performing Our obligations under these Terms where such failure or delay results from circumstances beyond Our reasonable control, including but not limited to: natural disasters, acts of government, war, civil unrest, fire, flood, epidemic or pandemic, power failure, internet or telecommunications failure, industrial action, or any other force majeure event.
